1Publisher and purpose
Replizy is published by Nathan Cousin, entrepreneur individuel (EI), Polochon Studio, 17 rue du Bras, 62500 Saint-Martin-lez-Tatinghem, France, SIRET 131 358 673 00013, contact@replizy.com (the “Publisher”).
These terms of sale govern the relationship between the Publisher and any business (the “Customer”) that creates an account, starts a free trial or subscribes to the service. Ticking the box or clicking the subscription button means unreserved acceptance of these terms, which prevail over any other document of the Customer.
2The service
Replizy is online software that lets the Customer:
- connect their Google Business Profile listings and retrieve their reviews;
- get a reply prepared by artificial intelligence for each review;
- post these replies on Google automatically or after approval, according to the settings they choose;
- spot sensitive reviews, which are always submitted to them before posting;
- view statistics, receive a monthly report and alerts by email and notification;
- print a QR code poster inviting their customers to leave a review.
The service relies on interfaces (APIs) provided by Google. Their availability, rules and limits depend on Google and may change without the Publisher being able to prevent it.
3Business customers
The service is reserved for businesses and professionals acting in the course of their activity. The consumer right of withdrawal does not apply.
4Account and access to Google
- The account is created with a Google account. The Customer controls their credentials and is responsible for their use.
- The Customer must own or manage the listings they connect and authorise Replizy to access them. They may withdraw this authorisation at any time from their Google account, which stops the service.
- The information provided (name, email address, business) must be accurate.
5Free trial
A free trial of 7 days, with no credit card, is offered once per Customer. During the trial, the full service is available. If no card is saved, the trial ends by itself with no charge. If the Customer saves a card, the paid subscription starts automatically at the end of the trial. A reminder is sent a few days before.
6Prices
The subscription costs €24.99 per month or €274.90 per year (one month free), per business location. Each additional location is one more subscription, at the same price and on the same plan. Adding or removing a location during a period is prorated on the next invoice. VAT not applicable, art. 293 B of the French General Tax Code: the price shown is the price paid.
The Customer may replace a location with another: the first change is immediate, further changes are limited to one per 30-day period.
The Publisher may change its prices. Any increase is announced at least 30 days in advance and only applies from the following period; the Customer may cancel before it takes effect.
7Payment, invoices and renewal
Payment is made in advance by card through the secure Stripe platform. The subscription renews automatically at each due date (monthly or yearly depending on the plan). Invoices are available in the billing area.
If a payment fails, the Customer is notified and given time to update their card, during which the service stays active. After that time and several attempts, the subscription may be suspended and then cancelled.
8Term and cancellation
The subscription has no commitment. The Customer may cancel at any time from their account (Subscription tab › “Card, invoices and cancellation”, which opens the Stripe billing portal). Cancellation takes effect at the end of the current period (the month, or the year on the annual plan): the service remains available until then and no prorated refund is made.
The Publisher may suspend or close an account in the event of a serious breach of these terms (fraudulent use, unlawful content, breach of Google's rules, persistent non-payment), after a formal notice left unremedied for 8 days, or immediately in the event of fraud or a threat to the security of the service.
The Customer may delete their account at any time from their account (Subscription tab): their data is then erased, as set out in the privacy policy.
9Customer obligations
- The Customer is solely responsible for the replies posted on their listings, including those prepared by the AI and posted automatically according to the settings they chose (ratings posted automatically, approval).
- They comply with Google's rules: no fake reviews, no incentive in exchange for a review, its change or its removal. The QR code poster is aimed at all their customers, with no selection or reward.
- They do not use the service to post unlawful, misleading, abusive or disparaging content.
- If they practise a profession bound by professional secrecy or ethical rules (health, law, finance…), it is up to them to check that posted replies comply; they are encouraged to submit all replies for approval.
10Artificial intelligence
Replies are written automatically by artificial intelligence (Google Gemini). They may contain errors, inaccuracies or unsuitable wording. The Customer can review, edit or ignore them, and choose which ratings are posted without approval. Sensitive review detection is an aid and does not guarantee that every delicate review is spotted.
11Publisher obligations and liability
The Publisher undertakes to use reasonable means to provide a quality, available service (best-efforts obligation). Interruptions may occur for maintenance or because of third-party providers (hosting, Google, Stripe, email delivery). The Publisher is not liable for any change, limitation or discontinuation of Google's services.
The Publisher's liability is limited to proven direct damage and may not exceed the subscription amount paid by the Customer in the twelve months before the event giving rise to it. It cannot be engaged for indirect damage: loss of revenue or customers, damage to reputation, changes in the Google rating or reviews, content of posted replies.
12Force majeure
Neither party is liable for a failure caused by force majeure within the meaning of article 1218 of the French Civil Code, including a general outage of the internet, of a hosting provider or of Google's services.
13Intellectual property
The software, the Replizy brand and the texts, visuals and videos of the site belong to the Publisher. During their subscription, the Customer has a personal, non-transferable right to use the service. The Customer remains the owner of their content and may freely use the replies prepared for them.
14Personal data and processing on behalf
The reviews processed contain personal data of the Customer's own customers (display name, review text). For this data, the Customer is the controller and the Publisher acts as a processor within the meaning of article 28 of the GDPR. The Publisher undertakes to:
- process this data only to provide the service, on the Customer's instructions;
- keep it confidential and secure (restricted access, encrypted connections, Google tokens kept server-side);
- only use sub-processors offering sufficient guarantees: Supabase (database), Vercel (hosting), Google (Gemini and Business Profile), Stripe (payment), Resend (emails);
- help the Customer answer requests from individuals and notify them without delay of any data breach;
- erase the data when the account is deleted.
The Customer's own data (account, billing) is processed as described in the privacy policy.
15Support
The Customer can contact support from the Help section of their account or at contact@replizy.com. The Publisher aims to reply within two business days.
16Changes to these terms
The Publisher may change these terms. Customers are informed of any significant change at least 30 days before it takes effect and may cancel before then if they do not accept it.
17Governing law and disputes
These terms are governed by French law. In the event of a dispute, the parties first seek an amicable solution. Failing that, the dispute is brought before the competent courts of the Publisher's place of business.
